Growth Fund Valuation Committee

The Growth Fund has a Fair Valuation Committee consisting of officers Mr. William B. Frels, President of the Mairs and Power Balanced Fund, Ms. Lisa Hartzell, Treasurer of the Fund, Mr. Ronald L. Kaliebe, Mr. Jon A. Theobald, and Ms. Andrea C. Stimmel, all of whom are "interested persons" of the Fund within the meaning of the Investment Company Act.

The role of the Fair Valuation Committee is to oversee the pricing of the Fund's shares, and to research and resolve any pricing problems. The Fair Valuation Committee meets on an "as needed" basis.
