Balanced Fund Audit Committee

The Balanced Fund has an Audit Committee consisting of four directors: Messrs. Conzemius, Dietz, Osborne, and Stringer, none of whom is an "interested person" of the Fund within the meaning of the Investment Company Act.

The role of the Audit Committee is to make recommendations to the Board of Directors regarding the selection of auditors, and to assist the Board of Directors in its oversight of the Fund's financial reporting process.

The Audit Committee meets with its independent auditors at least annually to review the results of the examination of the Fund's financial statements and other matters relating to the Fund.
